Experience & Capabilities:

Advising clients on incorporation, restructuring, acquiring, selling, division and merger of its business in China, including domestic companies and FIEs;

Acting as legal advisor for companies on their public listing related legal matters, including company restructuring, asset distribution and exchange, due diligence, debt and credit registration as well as other legal services to the security issuer and underwriter;

Assisting clients in establishing risk evaluation and management systems and providing legal risk analysis reports by investigating the current legal documentation and operational environment;

Assisting clients by drafting and reviewing legal documentation, such as standard sales or service contracts, and articles of association of the company, and resolving related problems and disputes as required;

Advising on employment and labor related issues, including tax planning and stock options for expatriates and senior management personnel;

Advising on public companies’disclosure and related senior management liabilities, providing legal services concerning public companies' state share transfer and legal person share transfer;

Advising on state-owned enterprise reform, Employee Buyout, Management BuyOuts;

Advising on such affairs as increase in capital and share, debt-to-equity swap through private placement;

Advising on corporate dissolution, insolvency and liquidation.
