Experience & Capabilities:

• Participating in early stage feasibility research and investigations on large-scale infrastructure and investment projects, advising and providing support on investment structure formulation, investment method selection, and other project-related critical legal issues;
• Advising on share distribution, cooperation structure design between various investors and their respective rights and obligations in the preparation stage, and drafting related legal documents;
• Conducting due diligence on project-related parties, covering assets, credits and debts;
• Assisting clients on project negotiation and rendering legal opinions on investment structure, party’s rights and obligations in such a project, project financing, asset acquiring, construction work tendering, environment and technology licensing and other related legal matters;
• Assisting clients in drafting, revising and reviewing project contracts and other related legal documents, including the government approval document, franchise, purchasing, finance and guarantee agreement, etc.;
• Assisting client in drafting tender documents, bidding party qualification investigations, bid opening and evaluation as well as other related legal matters;
• Providing analysis of and solutions to the problems arising during the performance period of project contract;
• Representing clients at arbitration tribunal and court hearings to resolve disputes arising from project contract, asset right and other project related matters.
